Brazilian law states that each foreign shareholder must be represented by a Brazilian citizen or someone with a permanent visa. In addition, the company must appoint a local director, called an administrator. Defining the corporate representative and the administrator to represent your business is the next step in forming your company in Brazil.
The administrator is the person who will be legally responsible for all the actions that the company takes in Brazil. The manager does not need to be the owner of the company and must be named in the articles of incorporation. According to Brazilian law, the administrator must be a Brazilian citizen or have a permanent Brazilian visa.
By mandate, the International Group can provide you with a director, i.e. a manager of the International Group, where you will be named in your company's articles of incorporation, but this does not imply operational or technical management.
All foreign partners of a Brazilian company must be represented by a Brazilian citizen or a foreign citizen with a permanent visa. Grupo International assumes the legal responsibility of representing the foreign partners of your company through a power of attorney.
Such a representative cannot act without the explicit instruction of the shareholders.
